==<span id="EM"></span>Explanatory memorandum== Subsection 2(1) of the ''Urabba Parks Proprietary Limited Constitution Statute 2021'' of the Founder (the ''''Statute'''') provides that Part 2 of the Statute (including the Constitution) commences on the later of a day to be fixed by Proclamation of the Enactor and the passing by Urabba Parks Proprietary Limited of the special resolutions under section 136 of the ''Corporations Act 2001'' of the Parliament of the Commonwealth to adopt the Statute, repeal any existing Constitution and adopting the Constitution as provided in the Statute. However, the provisions do not commence at all if the events mentioned do not occur. The Statute received the Founder’s assent on 5 March 2021 and the resolution of Urabba Parks was passed on 5 March 2021. The purpose of the proposed Proclamation is to fix 5 March 2021 as the day on which Part 2 of the Statute (including the Constitution) commences. The Statute provides a new Constitution for Urabba Parks which establishes it as a non-state jurisdiction, complete with a recognition of a judicial power competent to determine issues arising in the internal legal system. The purpose of creating a non-state jurisdiction is to showcase ‘charitable democracy’ to the world by creating a model jurisdiction which has governance powers over charities which work together to advance humanity and the environment together. By creating a governance system which values responsibility, accountability and creativity, Urabba Parks and its subsidiaries will be able to deliver high-quality relevant charitable services which are controlled and directed by our clients and stakeholders through the system of representative government as established by the new Constitution. The proposed Proclamation would be treated as a notifiable instrument under interim arrangements for classification of legislative-related documents, until such treatment is formalised by way of an Act of the Corporate Parliament of Urabba Parks.
